Terms of Service

1. Introduction

Welcome to Square Face Generator ("Service"), an AI-powered square face avatar and icon generation platform operated by LuTa Tech ("Company", "we", "us"). By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site or via email. Your continued use after changes constitutes acceptance.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. User Accounts

3.1 Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Security

Notify us immediately of any unauthorized use or security breach. We are not liable for any loss or damage arising from your failure to secure your account.

4. Subscriptions, Payments & Refunds

4.1 Subscription Plans

We offer Free, Standard, and Pro subscription tiers, as well as Pay-as-you-go credit packs. Features and pricing are detailed on our Pricing page. All fees are quoted in USD and exclude taxes unless stated otherwise.

4.2 Billing & Automatic Renewal

• Subscriptions: Billed in advance on a recurring basis (monthly or annually).
• Auto-Renewal: Unless cancelled, subscriptions automatically renew at the end of each billing period. You authorize us to charge your payment method for renewal fees.
• Cancellation: You may cancel anytime via Account Settings. Cancellation takes effect at the end of the current billing period. You retain access until then.

4.3 Credits System

• Subscription Credits: Reset upon each renewal (monthly/annual). Unused credits expire at renewal and do not roll over unless specified in your plan.
• Free Tier Credits: One-time grant upon signup; do not renew.
• Pay-as-you-go Credits: Purchased separately; never expire unless otherwise stated.

4.4 Refund Policy

General Policy:

All subscription fees are non-refundable once paid. This includes partial months, unused periods, or unused credits within an active subscription cycle.

Exceptions:

We will process refunds only in the following circumstances:

1. Statutory Requirements: Where refund is mandatory under applicable consumer protection laws (e.g., EU Consumer Rights Directive).
2. Promotional Guarantees: When explicitly offered as part of a limited-time promotion (e.g., "7-Day Money-Back Guarantee").
3. Technical Failure: If our Service is non-functional for >24 hours due to our fault, upon verification.

Pay-as-you-go:

All Pay-as-you-go credit pack purchases are non-refundable. Unused credits remain valid indefinitely and do not expire.

4.5 EU Consumer Rights (14-Day Cooling-Off)

If you are an EU consumer, you have the right to withdraw from the purchase within 14 days without giving reason. However, by purchasing and immediately using credits (generating avatars), you expressly consent to the immediate delivery of digital content and waive your right of withdrawal. This waiver is required for our Service to function.

4.6 Price Changes

We may modify fees upon 30 days' notice. Changes take effect at the next billing cycle.

5. Acceptable Use & Prohibited Content

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You retain all rights to your inputs and generated outputs subject to our license below.

5.2 Strictly Prohibited Content

You agree NOT to generate, upload, or distribute content that:

• (A) Deepfakes & Synthetic Media: Falsely depicts real individuals (public or private) saying or doing things they never did;
• (B) Non-consensual Intimate Imagery: Realistic sexual content involving identifiable persons without consent;
• (C) Minors: Sexual, exploitative, or violent content involving minors (including synthetic or illustrated);
• (D) Illegal Acts: Promotes terrorism, violence, self-harm, drug manufacturing, or illegal weapons;
• (E) Hate Speech: Promotes hatred, discrimination, or violence against protected groups;
• (F) Harassment: Targets individuals for abuse, stalking, or intimidation;
• (G) Misinformation: Synthetic media intended to deceive about electoral processes, public health, or crises;
• (H) Impersonation: Deceptive impersonation of specific individuals, brands, or public officials;
• (I) IP Infringement: Violates copyrights, trademarks, trade secrets, or publicity rights;
• (J) Malware: Contains viruses, worms, or code designed to harm systems;
• (K) Spam: Unsolicited bulk content or automated spam generation;
• (L) Self-Harm: Promotes or glorifies self-harm or suicide.

5.3 Technical Restrictions

You must not:

• Reverse engineer, decompile, or extract source code
• Use bots, scrapers, or automated systems to access the Service
• Circumvent rate limits or authentication mechanisms
• Resell or redistribute access to the Service without authorization
• Frame or mirror the Site without written consent

5.4 Content Moderation

We reserve the right to review, reject, or remove any content violating these Terms. We may suspend or terminate accounts for violations without refund. We may report illegal content to authorities.

6. User Content, Ownership & AI Training

6.1 Your Ownership

You retain ownership of images you upload ("Inputs") and avatars and icons you generate ("Outputs"). Subject to your compliance with these Terms, we grant you a worldwide, royalty-free license to use Outputs for commercial or personal purposes.

Watermark Notice: Free tier Outputs may include watermarks. Paid tier Outputs are unmarked and fully yours.

6.2 License to Us

By submitting Inputs or generating Outputs, you grant LuTa Tech a perpetual, worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and distribute your content solely to:

• Operate, maintain, and improve the Service
• Train, fine-tune, and enhance our AI/ML models
• Develop new features and capabilities
• Create anonymized, aggregated datasets for research
• Promote the Service (using generic examples, not personally identifying your content)

6.3 Privacy Protection

We will not publicly display your private uploads or associate your generated content with your identity in marketing materials without separate written consent.

6.4 Feedback

Any suggestions, enhancement requests, or feedback you provide become our exclusive property. You assign all rights to such feedback without compensation.

7. Intellectual Property

7.1 Our Rights

All rights in the Service, including software, algorithms, trademarks, logos, and content (excluding User Content), are owned by LuTa Tech or licensors. These Terms grant no right to use our branding or technology except as explicitly permitted.

7.2 DMCA & Copyright

If you believe content infringes your copyright, contact us at support@luta-tech.com with:

• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information and good faith belief statement
• Accuracy statement under penalty of perjury

8. Termination

8.1 By You

You may delete your account anytime. Upon termination, your right to use the Service ceases immediately.

8.2 By Us

We may suspend or terminate your account immediately for:

• Violation of these Terms (especially Section 5)
• Fraudulent payment activity
• Persistent chargeback activity after attempts to resolve through support
• Behavior that risks harm to us or other users

8.3 Effect of Termination

Upon termination: (a) all licenses granted to you terminate; (b) you must cease using the Service; (c) accrued payment obligations survive termination.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The service will be uninterrupted, timely, secure, or error-free
• AI generation results will be accurate, appropriate, or meet your expectations
• The service is free of viruses or other harmful components

AI generation is inherently probabilistic. We are not responsible for unexpected, inaccurate, or offensive outputs.

10. Limitation of Liability

To the maximum extent permitted by law, LuTa Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless LuTa Tech and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party right

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall first be addressed through good faith communication with our support team.

If unresolved, either party may seek resolution through binding arbitration under the rules of a mutually agreed arbitration service, except that either party may seek injunctive relief in court for intellectual property violations.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LuTa Tech regarding the Service.

13.2 Severability

If any provision is found invalid, the remaining provisions continue in effect.

13.3 Assignment

You may not assign these Terms without our consent. We may assign these Terms freely.

13.4 Waiver

Our failure to enforce any right does not waive that right.
